Terms of Service

1. What these Terms cover

1.1 These Terms govern the use of Werk24 by a business through an online account:

  • the Werk24 API with an account in the API console, on the Pay as You Go or the Production plan, and the add-ons booked there; and
  • Werk24 Studio, on the Connect, Workshop or Pro plan, and on the Team and Scale plans for workspaces that already have them.

1.2 They do not govern a customer with a signed contract with Werk24. The contract governs, and these Terms apply only where it refers to them. The free demo has its own demo terms.

1.3 Werk24 is offered to businesses only (entrepreneurs within the meaning of section 14 of the German Civil Code, “BGB”), not to consumers. The person who accepts these Terms confirms that they act for a business and may bind it.

1.4 The data processing agreement and the support and service terms form part of these Terms. Terms of your own do not apply, even if you refer to them and we do not object.

2. How the agreement is made

2.1 The agreement is made when you create an account and accept these Terms. A paid plan starts when its first payment is authorised: the card check for Pay as You Go, the first fee for Production or a Studio plan.

2.2 We may refuse an account or a plan where we have good reason, for example when a payment fails, fraud is likely, or export control or sanctions law stands in the way. Nothing is charged for a refused plan.

2.3 Paid plans are sold through Paddle (Paddle.com Market Limited), our online reseller and merchant of record. Paddle takes the payment, issues the invoice and e-mails it to you, and handles VAT, refunds and chargebacks under its own buyer terms, which it shows at checkout. Your invoices and card statement therefore show Paddle, not Werk24. The service itself is ours, and these Terms govern it.

3. The service

3.1 Werk24 reads technical drawings and returns what it finds as structured data: through the API, in the console’s test reader, and in Werk24 Studio, which turns it into balloon drawings and inspection reports. The documentation describes what each part does and the limits that apply (file formats, file size, pages per document, paper size, requests at once). The limits may change as the service develops.

3.2 Check the results. Werk24 reads drawings automatically, with machine learning. A result can be incomplete or wrong, and a drawing can be refused when it cannot be read reliably. Check results before you rely on them, in particular before you quote, make, inspect, accept or reject a part. Accuracy and speed figures we publish are typical values, not promises.

3.3 We develop Werk24 continuously and may change its features and limits, as long as what you pay for does not get materially worse. If a change takes away something material from a plan you pay for, we tell you at least 30 days ahead, and you may end that plan when the change takes effect.

3.4 Integration work, custom configuration, training and consulting are not included unless agreed separately.

4. Plans and prices

4.1 Pay as You Go. A price per page read and no monthly fee. The price is the one shown in the console when you signed up, unless it is changed under 5.4. Paddle charges your card monthly in arrears for the pages read since the last charge. At signup Paddle checks your card with a charge of EUR 1, which is credited to your account as your first page.

4.2 Production. A monthly fee that includes 500 pages a month, and a price per page beyond them, both as shown in the console when you choose the plan. The fee is charged monthly in advance and the pages beyond the included ones monthly in arrears. Included pages do not carry over to the next month. Production runs month to month; 10.3 says how it ends.

4.3 Add-ons are booked and ended in the console, at the price shown there, and run with the plan they are booked on. Where the console states a minimum term or a setup fee for an add-on (for example a dedicated region), that applies.

4.4 Werk24 Studio.

  • Connect is free. It includes 5 reports a calendar month and one seat. A report is one drawing read, whatever its number of pages.
  • Workshop and Pro have a monthly fee, shown at checkout, which includes drawing pages each billing month (100 on Workshop, 400 on Pro) and seats (2 on Workshop, 5 on Pro, the owner’s included). A drawing counts all its pages. Included pages do not carry over.
  • When the included reports or pages are used, the Studio reads no further drawings until the next month starts or the workspace moves to a plan with more. Nothing is charged beyond the fee.
  • A drawing the Studio could not read does not count.
  • A workspace that requests reports from its suppliers (an OEM workspace) uses the Studio free of charge.
  • Team and Scale are no longer sold. Workspaces that have them keep them on the terms they bought them on.

4.5 Prices are net. Paddle adds VAT where it is owed.

5. Payment, metering and price changes

5.1 Metering. Each page of a document that the reader processes counts once per request, whatever is asked about it. A file refused before it is read does not count. Our metering records decide, unless they are plainly wrong. Tell us within 60 days of a charge if you dispute it.

5.2 Failed payments. If a payment fails, we or Paddle tell you and try again. If it is still outstanding 7 days after that notice, we may suspend access until it is paid; after 30 days we may end the agreement. Statutory default interest applies.

5.3 Studio plan changes. You can move between Workshop and Pro at any time. Paddle charges or credits the difference for the rest of the billing month at once.

5.4 Price changes. We may change prices for the future by telling you in text form at least 30 days ahead. If you do not accept a change, you may end the affected plan before it takes effect.

6. What you are responsible for

6.1 You keep your API keys, passwords and invitation links confidential, make sure only your people use them, and tell us at once if you suspect misuse. You are responsible for what is done with your account.

6.2 You upload only drawings and data you have the right to give us for this purpose, and you comply with the law that applies to your use, including export control and sanctions law.

6.3 You do not:

  • interfere with the security of Werk24, or get around its limits, metering or access controls;
  • reverse engineer, decompile or copy the service;
  • upload harmful code, or load the service beyond its documented limits;
  • scrape or crawl the service, or use it for unlawful purposes;
  • use the service or its results to build, train or evaluate a service or model that reads technical drawings.

6.4 You may use the results in your own business and pass them on to your customers and suppliers, including inside your own products.

6.5 If you break 6.1 to 6.3 in a way that puts the service or others at risk, we may suspend the affected access at once and tell you why.

7. Your data

7.1 Your drawings, the results and your reports are yours. You allow us to use them to provide Werk24 to you: to read them, to keep them as the data processing agreement says, and to show them to the people you share them with.

7.2 Where we process personal data on your behalf, the data processing agreement applies. It forms part of these Terms.

7.3 Data contribution. Data contribution means that we keep small parts of what we read to improve our reader: image crops of single features (such as a tolerance frame or a surface symbol, typically a few hundred pixels across) and short text fragments the reader could not interpret (up to 60 characters, never an e-mail address). Whole pages are kept only where a signed contract allows it.

  • On Pay as You Go, data contribution is part of the plan.
  • On Production you choose in the console, which also shows the credit a contributing page earns.
  • An account that has never made a choice contributes feature crops and text fragments, as every account did before the choice existed.
  • Drawings read in Werk24 Studio and in the console’s test reader contribute feature crops and text fragments.
  • End-to-end encryption does not change what is kept: with it booked, we cannot open your drawings or the result files after the read, and what is kept follows the choices above.

We use contributed data only to develop and test Werk24’s reading, never to identify anyone, and we pass it to no one outside Werk24 and the providers that run the service for us (listed under subprocessors). You grant us a non-exclusive, royalty-free right to use it for these purposes for as long as we need it. If contributed data contains personal data despite these limits, we delete it when we find it.

7.4 We may use data about how the service is used (counts, timings and errors, not the content of your drawings) to run, secure and improve it, and publish statistics that identify no customer.

7.5 We may name you as a customer, with your company name and logo, unless you tell us not to.

8. Confidentiality

8.1 Each of us keeps the other’s non-public information confidential, uses it only for this agreement, and shares it only with staff, contractors and advisers who need it and are bound to confidentiality. This does not apply to information that is public, was already known to the recipient, is developed independently, or must be disclosed by law, in which case the other is told where that is allowed.

8.2 Your drawings and results are your confidential information. The software, models, documentation and API keys are ours.

9. Availability, support and defects

9.1 We work to keep Werk24 available at all times but do not promise uninterrupted or error-free operation. Planned maintenance and incidents are posted on the status page.

9.2 The support and service terms say how to reach us and how quickly we answer on each plan.

9.3 Tell us about a defect in text form without undue delay, describing it so we can reproduce it. We remedy defects within a reasonable time, at our choice by fixing them or by providing a workaround or a new version. If we cannot, you may end the affected plan. Strict liability for defects that already existed when the agreement was made (section 536a paragraph 1, first alternative, BGB) is excluded.

10. Term and ending

10.1 The agreement for your account runs until it is ended. You may close your account by writing to support@werk24.io; we may close it with 30 days’ notice. The plan terms below take precedence.

10.2 Pay as You Go has no term. You can stop at any time. Pages already read remain payable.

10.3 Production runs month to month. You can cancel it at any time; it then ends at the end of the billing month in which you cancel, and is not renewed. A move from Production to Pay as You Go takes effect at the end of the billing month in the same way. We may end Production with 30 days’ notice.

10.4 Studio Workshop and Pro run month to month. You can cancel at any time; the plan then ends at the end of the billing month, and the workspace returns to Connect. Its projects and reports stay. Members beyond Connect’s one seat lose access until the workspace has seats for them again. We may end a Studio plan, or change or end the free Connect plan, with 30 days’ notice.

10.5 Either of us may end the agreement for good cause without notice. A notice of termination must be in text form, for example an e-mail.

10.6 When the agreement ends, your access ends and your API keys stop working. Download your results and reports before then. What happens to your data afterwards is set out in the data processing agreement.

11. Liability

11.1 We are liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we gave a guarantee.

11.2 For slight negligence we are liable only for breach of an essential obligation (one whose fulfilment makes the agreement possible in the first place and on which you may rely), and then only for the damage typical and foreseeable for this kind of agreement. On a paid plan, our liability under this clause is limited to the amounts you paid us in the twelve months before the event.

11.3 On a free plan (Connect, and the free use of an OEM workspace) we are liable only under 11.1.

11.4 Except under 11.1, we are not liable for loss caused by information or instructions you gave us, or by results you relied on without checking them as 3.2 asks.

11.5 These limits apply to our staff and agents too.

12. Changes to these Terms

12.1 We may change these Terms for the future. We tell you in text form at least 30 days before a change takes effect, say what changes, and point out your right to object.

12.2 If you object before the change takes effect, the current Terms continue to apply to you, and either of us may end the affected plan from the day the change would have taken effect. If you do not object and keep using Werk24 after that day, the changed Terms apply.

13. General

13.1 German law applies, without the UN Convention on Contracts for the International Sale of Goods (CISG).

13.2 The courts of Munich, Germany, have exclusive jurisdiction, where the law allows such an agreement.

13.3 Text form (section 126b BGB), such as e-mail, is enough for notices under these Terms. We send notices to the e-mail address of your account.

13.4 Where the checkout or an order confirmation says something different about a plan, it prevails over these Terms. The data processing agreement prevails over these Terms on data protection.

13.5 You may transfer the agreement to someone else only with our consent. We may transfer it to a successor to our business.

13.6 If a provision is invalid, the rest stays in force, and the invalid provision is replaced by the valid one that comes closest to its purpose.

14. Accounts that started before these Terms

These Terms replace the Online Subscription Terms (effective Q1 2026). Accounts created from 5 October 2026 have these Terms from the start. For accounts created earlier, the earlier terms continue until these Terms take their place, 30 days after we tell you by e-mail, as section 12 describes. The price per page of an existing Pay as You Go account does not change with these Terms.
